Fulfillment Policy

1. Overview

This Fulfillment Policy describes how Vero Dawn Consulting LLC (“Vero Dawn,” “we,” “our,” or “us”) delivers consulting services, processes payments, handles refunds, and manages client engagements. By engaging our services, you agree to the terms described in this policy.

2. Consulting Services Delivery

Vero Dawn provides AI consulting and systems-building services. All consulting engagements follow a structured delivery process:

• Discovery: An initial consultation to assess your business needs, current operations, and goals. Discovery calls are conducted remotely via video conference.
• Proposal: Following discovery, we provide a written proposal outlining the scope of work, deliverables, timeline, and fees.
• Active Engagement: Services are delivered remotely via video call, async communication, and shared documentation. Specific delivery formats will be outlined in the Client Service Agreement.

All consulting services are governed by a separate Client Service Agreement, which will be provided and must be signed prior to the commencement of any paid work.

3. Payment

Payment for consulting services is due in accordance with the schedule set forth in the applicable Client Service Agreement. The following general terms apply:

• All fees are quoted and invoiced in U.S. dollars.
• Invoices are processed through a third-party payment processor. By submitting payment, you agree to that processor’s terms and conditions.
• For project-based engagements, a deposit or initial payment is typically required before work begins. The remaining balance is due upon project completion or milestone, as specified in the Client Service Agreement.
• We reserve the right to pause or terminate services if payment is not received in accordance with agreed terms.

4. Refund Policy

Because our consulting work involves significant time, preparation, and intellectual effort, the following refund terms apply:

• Deposits and initial payments are non-refundable once work has commenced.
• If you cancel an engagement before work begins, we will refund any amounts paid in full, less any non-recoverable costs already incurred.
• If you cancel after work has begun, you are responsible for payment of all work completed to date, billed at the agreed project rate or prorated accordingly.
• Refund requests must be submitted in writing to hello@verodawn.co. We will review each request and respond within 10 business days.

5. Digital Products and Resources

From time to time, Vero Dawn may offer digital products such as templates, guides, frameworks, or recorded content (“Digital Products”). The following terms apply:

• Delivery: Digital Products are delivered electronically via download link or access portal, typically within 24 hours of payment confirmation.
• Access: Unless otherwise specified at time of purchase, access to Digital Products is provided for 12 months from the date of purchase.
• No Refunds on Digital Products: Due to the instant-access nature of digital content, all sales of Digital Products are final and non-refundable.
• If you experience a technical issue accessing a Digital Product, please contact us at hello@verodawn.co and we will work to resolve it promptly.

6. Project Pauses and Client Responsiveness

Active collaboration is essential to successful delivery. If a project is delayed due to client unresponsiveness or inaction, the following terms apply:

• If we do not receive required information, feedback, or approvals within 14 days of request, we reserve the right to pause the engagement.
• To resume a paused engagement, a restart fee may apply depending on the scope and time elapsed.
• If an engagement is inactive for 60 or more days due to client delay, Vero Dawn reserves the right to close the engagement. Any remaining balance for work completed will remain due.

7. Intellectual Property and Deliverables

Upon receipt of full payment for a consulting engagement, client ownership of specific deliverables will transfer as set forth in the applicable Client Service Agreement. The following general terms apply:

• Underlying frameworks, methodologies, templates, and proprietary processes developed by Vero Dawn are retained by Vero Dawn and its affiliated entities.
• You may not resell, sublicense, or distribute Vero Dawn deliverables or materials without express written consent.
• Digital Products are licensed for your individual business use only and may not be shared, reproduced, or resold.

8. Confidentiality

Both parties acknowledge that confidential information may be exchanged during an engagement. Vero Dawn will not disclose your confidential business information to third parties except as required to deliver services or as required by law.

Similarly, proprietary tools, frameworks, and processes shared by Vero Dawn are confidential and may not be disclosed, reproduced, or shared without our express written consent.

9. Disputes and Chargebacks

We are committed to resolving any concerns promptly and in good faith. Before initiating a chargeback or payment dispute with your bank or payment provider, we ask that you first contact us at hello@verodawn.co to allow us the opportunity to resolve the issue directly.

Initiating a chargeback without first attempting resolution with Vero Dawn may result in suspension of access to services and deliverables and may be contested.
